Introduction and Binding Agreement
These Master Terms and Policies (hereinafter the “Terms”) constitute a legally binding agreement between guru compass LLC, a Wyoming limited liability company, its affiliates, officers, directors, agents, and employees (the “Company,” “we,” “us,” “our”) and any individual, entity, or group accessing, browsing, or using any of the Company’s Services (the “User,” “you,” “your”).
By accessing, browsing, registering for, or using any part of the Services, you acknowledge that you have read, understood, and unconditionally agree to be bound by these Terms in their entirety. If you do not agree with any part of these Terms, you must immediately cease all access to and use of the Services. These Terms constitute the entire agreement between you and the Company regarding your use of the Services and supersede any and all prior agreements, oral or written, between you and the Company.
Scope and Integration of All Policies
This single, unified document governs all aspects of the User's relationship with the Company. It consolidates and integrates all policies, rules, and guidelines applicable to the Services, including but not limited to the Terms of Service, Privacy Policy, Cookies Policy, Platform Terms, and Community Standards. All sections of this document are incorporated by reference into each other and shall be read as a whole.
Modifications and Updates
The Company reserves the absolute and sole right to amend, modify, or update these Terms at any time and for any reason, including to accurately reflect our services and practices, to promote a safe and secure experience, or to comply with applicable law. We will provide notice of material changes, for example, by sending an email to the address associated with your account or by posting a prominent notice within the Services, at least thirty (30) days before the changes become effective, unless a shorter period is required by law. The updated Terms will be effective as of the date specified in the notice. Your continued access to or use of the Services after the effective date of the updated Terms constitutes your binding and irrevocable acceptance of the changes. If you do not agree to the new Terms, your sole recourse is to terminate your account and cease all use of the Services.
Part I: Definitions and Scope
1. Definitions
To ensure clarity and prevent ambiguity, the following terms shall have the meanings ascribed to them below when used in these Terms:
Company: guru compass LLC, a limited liability company organized under the laws of the State of Wyoming, along with its parents, subsidiaries, affiliates, and their respective officers, directors, employees, agents, and successors.
Services: All products, services, content, features, technologies, and functions offered by the Company, whether now existing or hereafter developed. This includes, but is not limited to, the Company’s websites (including www.gurucompass.co), mobile applications, software, application programming interfaces (APIs), online courses, educational modules, video lessons, written materials, coaching sessions, tutoring, mentorship programs, workshops, webinars, community forums, interactive features, user-generated content functionalities, and any other platform, technology, or functionality provided by the Company. The definition is intentionally broad to encompass any future offerings.
User: Any individual, legal entity, or group that accesses, views, registers for, or otherwise uses any aspect of the Services. This includes, without limitation, casual website visitors, registered account holders, paying customers, and Partners.
Content: All materials, in any format, provided, created, or made available by the Company or its licensors through the Services. This includes, but is not limited to, course materials, lessons, videos, text, documents, workbooks, proprietary methodologies, frameworks, strategies, trademarks, logos, graphics, software, source code, and designs. This also includes User-Generated Content as defined herein.
User-Generated Content (UGC): Any and all content, in any format, that a User creates, uploads, posts, submits, or otherwise makes available on or through the Services. This includes, but is not limited to, comments, forum posts, reviews, questions, messages, and any materials submitted as part of course activities or interactions with other Users or Partners.
Partner: Any third-party independent provider, including but not limited to coaches, mentors, tutors, or other experts, who utilizes the Company's Platform to offer their own services directly to Users.
Platform: The specific technological infrastructure, tools, and services provided by the Company that enable Partners to connect with, communicate with, and offer their services to Users.
Personal Data: Any information that relates to an identified or identifiable individual, as defined under applicable data protection laws, including the General Data Protection Regulation (GDPR) of the European Union and the California Consumer Privacy Act (CCPA).
Part II: Terms of Service
2. Description of Services
The Company provides a dynamic and evolving technology platform and suite of Services designed to provide Users with access to educational content, personal and professional development tools, expert guidance, and a community of peers. Our mission is to empower individuals by facilitating access to knowledge, skills, and meaningful connections. The Services are provided on a global basis and are subject to continuous innovation and modification. This description is intentionally general to accommodate the fluid nature of our offerings, which may expand or change over time to include new features, content formats, or service models without necessitating a material amendment to these Terms.
The provision of a broad, mission-oriented service description serves as a durable legal framework that can accommodate the Company's growth. By defining the service as a "platform for educational content and personal development tools," rather than narrowly as "online video courses," the Company retains the flexibility to introduce new offerings such as live coaching, enterprise solutions, AI-driven mentorship, or other technological innovations. This approach mitigates the legal risk that could arise if a new service was deemed to fall outside the scope of a more restrictive definition, ensuring these Terms apply consistently across all current and future business activities.1
3. User Accounts and Responsibilities
3.1. Account Creation and Eligibility
To access certain features of the Services, you must register for an account. By creating an account, you represent and warrant that all information you provide is accurate, current, and complete, and you agree to maintain and promptly update this information to keep it as such. The creation of an account is limited to one per individual for personal use. You are solely and entirely responsible for all activities that occur under your account, whether or not authorized by you.
3.2. Account Security
The license to use your account is personal, non-transferable, and non-sublicensable. You are strictly prohibited from sharing your account password, granting access to your account to any other person, or otherwise transferring your account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that result from their use. You agree to notify the Company immediately at [[email protected]] of any known or suspected unauthorized use of your account or any other breach of security. Failure to comply with these security obligations constitutes a material breach of these Terms.
3.3. Policy for Minors
The Services are not directed to, and we do not knowingly collect information from, individuals under the age of 13. To use the Services, you must be at least 13 years old.
For Users who are between the age of 13 and 18 (or the age of legal majority in their jurisdiction of residence), use of the Services is only permitted with the express prior consent and under the active supervision of a parent or legal guardian. If you are a parent or legal guardian permitting a minor to use the Services, you hereby agree to: (i) supervise the minor's use of the Services; (ii) assume all risks and liabilities associated with the minor's use; (iii) ensure the accuracy and truthfulness of all information submitted by the minor; and (iv) be fully responsible and liable for the minor's compliance with these Terms. Any breach of these Terms by a minor shall be deemed a breach by the parent or legal guardian, who agrees to defend, indemnify, and hold the Company harmless from any claims arising from the minor's use of the Services.
3.4. Prohibited Conduct
You agree not to engage in, or to facilitate or support others in engaging in, any of the following conduct in connection with the Services:
Violating Terms and Policies: Using the Services in any way that violates these Terms, including but not limited to our Community Standards (Part IV), or any other applicable terms or policies.
Unlawful or Malicious Activity: Using the Services to do or share anything that is unlawful, illegal, misleading, discriminatory, fraudulent, malicious, or for any unauthorized purpose.
Infringement of Rights: Posting, sharing, or transmitting any content that infringes or violates the rights of any third party, including their intellectual property rights (e.g., copyright, trademark), privacy rights, publicity rights, or other proprietary rights.
System Interference: Uploading, transmitting, or distributing viruses, worms, malicious code, or any other software intended to disable, overburden, interfere with, or impair the proper working, integrity, security, or appearance of our Services, systems, or data.
Unauthorized Data Collection: Accessing or collecting data from our Services using automated means (such as bots, scrapers, or spiders) without our express prior written permission, or attempting to access data for which you do not have permission.
Misuse of Channels: Misusing any reporting, flagging, dispute, or appeals channels, such as by making fraudulent, duplicative, or groundless reports or appeals.
We reserve the right to investigate and take appropriate action, including removing content or suspending or terminating your account, for any conduct that violates these provisions.
4. Intellectual Property Rights
4.1. Company's Intellectual Property
All rights, title, and interest in and to the Services and all Content are and will remain the exclusive property of guru compass LLC and its licensors. The Services and Content are protected by copyright, trademark, trade secret, and other intellectual property laws of the United States and foreign countries. You may not use the guru compass name, trademarks, logos, or any other proprietary graphics without our express prior written permission, which may be granted or withheld in our sole discretion.
4.2. Limited License to Users
Subject to your full and continuous compliance with these Terms, you are granted a limited, non-exclusive, non-transferable, non-sublicensable, and fully revocable license to access and use the Services and Content solely for your personal, non-commercial, educational purposes. This license is contingent upon your adherence to all terms and conditions herein and may be revoked by the Company at any time, for any reason or no reason, in its sole discretion.
4.3. Strict Prohibitions on Use
This limited license is subject to strict prohibitions. You are expressly and strictly forbidden from performing, or allowing any third party to perform, any of the following actions:
Reproduction and Distribution: Copying, screen-recording, downloading, reproducing, distributing, broadcasting, publishing, sharing, or making any Content available to any third party in any form.
Commercial Use: Using any Content for any commercial purpose whatsoever, including but not limited to using our materials to train others, as part of your own business or consulting services, or for any form of financial gain.
Recreation and Derivation: Recreating, creating derivative works from, adapting, or modifying any of our Content, including our unique methods, strategies, frameworks, or course structures.
Reverse Engineering: Attempting to reverse-engineer, decompile, disassemble, or otherwise attempt to extract or discover the source code or underlying structure of the Services or any part thereof.
Any violation of these prohibitions constitutes a material breach of these Terms and an infringement of our intellectual property rights, which will result in the immediate termination of your account and license without refund and may subject you to civil and criminal penalties.
4.4. User-Generated Content (UGC)
You retain ownership of the intellectual property rights in any UGC that you create and share on the Services. However, to operate and provide the Services, you must grant us certain legal permissions.
Specifically, by creating, posting, uploading, or sharing any UGC on or in connection with our Services, you grant the Company a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, and sub-licensable license to host, use, store, distribute, modify, run, copy, publicly perform or display, translate, and create derivative works of your UGC. This license is granted for the limited purposes of operating, providing, developing, and improving the Services, as well as for our research, marketing, and promotional activities. This license will continue even if you stop using our Services, particularly for aggregated and de-identified data or for content that has been shared by others and not deleted.
You represent and warrant that you own or have secured all necessary rights, licenses, consents, and permissions to grant us this license for any UGC you submit and that your UGC does not violate any third-party rights or applicable laws.
5. Commerce and Payment Terms
5.1. Pricing and Payments
You agree to pay all fees and applicable taxes for any purchases you make on the Services, in accordance with the pricing and payment terms presented to you at the time of purchase. All prices are listed in U.S. Dollars unless otherwise specified. We may use third-party payment processors to handle payments, and your use of such services is subject to their terms and conditions.1
5.2. Strict Non-Refund Policy
TO THE FULLEST EXTENT PERMITTED BY LAW, ALL SALES ARE FINAL, AND ALL PAYMENTS ARE NON-REFUNDABLE. The Company does not offer refunds or credits for any purchases of Services or Content for any reason, including but not limited to your dissatisfaction with the Services, your failure to complete or use the Services, a change in your personal circumstances, or a breach of these Terms on your part. This policy is strictly enforced.
5.3. Consequences of Non-Payment and Chargebacks
Failure to make timely payments for any subscription or installment plan, or the initiation of a payment dispute or chargeback with your financial institution, constitutes a material breach of these Terms. In such an event, the Company reserves the right to take any or all of the following actions without notice: (i) immediately suspend or permanently terminate your account and all access to the Services; (ii) pursue collection of any outstanding amounts due, including any costs incurred in such collection efforts (such as legal fees and collection agency fees); and (iii) treat any chargeback as a breach of contract, resulting in the forfeiture of all prior payments made to the Company.
Part III: Privacy and Data Governance
6. Privacy Policy Introduction
This Privacy Policy section details our commitment to protecting your privacy. It explains what Personal Data we collect, the purposes for which we collect it, how we use and share it, and the rights and controls available to you regarding your Personal Data. This policy applies to all Personal Data we process through your use of any of our Services, regardless of how you access them.
7. Information We Collect
We collect information to provide and improve our Services. The types of information we collect are defined broadly to ensure we can adapt to new technologies and service offerings while remaining transparent. The collection is based on your interaction with our Services.
7.1. Information You Provide Directly
Account and Profile Information: When you register for an account, purchase a service, or create a profile, we collect Personal Data such as your name, email address, password, phone number, and any other information you choose to provide.
Payment Information: When you make a purchase, we collect transaction information. Payments are processed by third-party payment processors, so we do not store full credit card numbers but may receive information related to the transaction.
User-Generated Content and Activity Information: We collect the content you create and your activity on the platform. This includes your answers and performance on tests, exercises, and assessments; your posts, comments, and interactions in community forums; and the content of your communications with us, Partners, or other Users. When you submit responses in assessments, participate in free or paid calls, or receive any free or paid reports, you consent to guru compass’s access, review, storage, and usage of this information for purposes consistent with our services, analytics, and communications strategy, as described in Section 8.3.
7.2. Information Collected Automatically
Usage and Log Data: We automatically collect information about your interactions with our Services. This includes the content you access, the features you use, the pages you view, the time and duration of your visits, and other system activity.
Device and Technical Information: We collect data from the device you use to access our Services, including your IP address, device type, operating system, browser type, unique device identifiers, and information about the network you are on.
7.3. Information from Third Parties
We may receive information about you from other sources, including third-party services and organizations. For example, if you access our Services through a social media platform or another third-party connection, we may collect information from that service as permitted by your privacy settings on that platform. We may also receive information from our analytics providers, marketing partners, and payment processors.

To Communicate With You: To send you administrative information, provide customer service, respond to your inquiries, and, with your consent where required, send you marketing and promotional communications about our Services or those of our Partners.
For Safety, Security, and Integrity: To verify accounts, combat harmful conduct, detect and prevent spam and other bad experiences, and maintain the integrity of our Services.
For Analytics and Business Services: To measure the effectiveness of our content and services and to provide aggregated analytics and insights.
8.2. How We Share Information
We are not in the business of selling your Personal Data. We may share your information only in the limited circumstances described below, and we require third parties to respect the security of your data and to treat it in accordance with the law.

8.3. Consent for Processing Upon Engagement with Paid and Free Services
By scheduling or participating in any free or paid service like a discovery call, accessing complimentary content or assessments, or receiving any personalized report or service from guru compass, you expressly authorize guru compass LLC to collect, access, process, analyze, and retain the information you provide, including any responses, insights, or behavioral data derived from your interaction.
This includes the right to:
Review and evaluate your answers, results, or submitted content;
Use such information to personalize recommendations, evaluate eligibility or fit for services, and to improve our offerings;
Retain the data for future reference, customer relationship management, research, analytics, or marketing purposes, in accordance with our Privacy Policy.
This consent is mandatory for access to free services, and by proceeding, you waive any expectation of anonymity or limitation on the Company’s use of such information as described herein.
If the User is a minor under applicable law, such access and participation must be expressly authorized and supervised by a parent or legal guardian, who hereby agrees and provides full consent to the data processing described above, and accepts responsibility for the minor’s compliance with these Terms.
9. User Rights and Data Controls (US & EU Compliance)
We provide you with tools to manage your information and are committed to honoring the data protection rights you may have under applicable laws. This section outlines these rights and how you can exercise them. While we provide these controls to all users, certain rights may only be available depending on your location (e.g., if you are a resident of the European Economic Area, UK, or California). This jurisdictional distinction is essential for global compliance, allowing us to meet the stringent, user-centric requirements of regulations like GDPR where applicable, while maintaining a different operational standard where legally permissible elsewhere.
10. Cookies and Tracking Technologies Policy

11. International Data Transfers
Our Services are operated from the United States. If you are accessing the Services from outside the United States, please be aware that your information, including Personal Data, will be transferred to, stored, and processed in the United States, where our servers are located and our central database is operated.
If you are a resident of the European Economic Area (EEA), the United Kingdom (UK), or Switzerland, this constitutes a transfer of your Personal Data to a country that may not provide the same level of data protection as your home jurisdiction. To ensure that your Personal Data receives an adequate level of protection, we rely on appropriate legal mechanisms compliant with the GDPR and other applicable laws. Specifically, all transfers of Personal Data from the EEA, UK, or Switzerland to the US will be governed by the Standard Contractual Clauses (SCCs) as approved by the European Commission and/or the UK's Information Commissioner's Office. These SCCs are incorporated by reference into these Terms. By using our Services and agreeing to these Terms, you consent to the transfer of your Personal Data to the United States and the application of the SCCs to such transfers. This explicit reliance on SCCs is a direct response to international data transfer regulations (such as the "Schrems II" ruling) and is a fundamental requirement for legal operation in the EU.
12. Data Security and Retention
12.1. Security
We implement and maintain reasonable administrative, physical, and technical safeguards designed to protect the security, confidentiality, and integrity of your Personal Data from unauthorized access, use, or disclosure. These measures are based on industry standards and are regularly reviewed. However, you acknowledge that no method of transmission over the Internet or method of electronic storage is 100% secure. Therefore, while we strive to use commercially acceptable means to protect your Personal Data, we cannot guarantee its absolute security.
12.2. Retention
We will retain your Personal Data only for as long as is necessary for the purposes set out in this Privacy Policy. We will retain and use your Personal Data to the extent necessary to provide our Services, comply with our legal obligations (for example, if we are required to retain your data to comply with applicable tax and accounting laws), resolve disputes, and enforce our legal agreements and policies. When we no longer have a legitimate business need to process your Personal Data, we will either delete or anonymize it.
Part IV: Platform and Community Governance
13. Platform Terms (For Coaches/Partners)
This section applies specifically to Partners who use the guru compass Platform to offer their services. The establishment of these terms is critical for creating a legal firewall, distinguishing the Company's role as a technology provider from the service delivery role of the Partners. This framework is designed to mitigate the Company's liability for the actions or omissions of its independent Partners.
13.1. Partner Obligations
As a Partner, you agree to: (i) provide accurate and complete information about yourself and the services you offer; (ii) comply with all applicable laws and regulations in your provision of services; (iii) maintain any required licenses or certifications for your profession; and (iv) adhere strictly to our Community Standards and all other provisions of these Terms.
13.2. Data Processing and Independent Controller Status
You acknowledge and agree that you are an independent data controller with respect to the Personal Data of any User with whom you interact. You are solely responsible for complying with all applicable data protection laws, including the GDPR. You must provide your own privacy policy to Users and obtain any necessary consents from them. You are strictly prohibited from using any Platform Data or User information for any purpose other than providing your contracted services to that User through the Platform. You agree to indemnify the Company for any claims arising from your failure to comply with your data protection obligations.
13.3. No Guarantees and Disclaimer
The Company acts solely as a technology platform to facilitate connections between Users and Partners. We do not employ, endorse, or recommend any Partner, nor do we make any representations or warranties about the quality, accuracy, safety, or legality of the services they provide. All interactions and transactions between you and a User are solely between you and that User. The Company is not a party to your agreements with Users and disclaims all liability for any disputes, claims, losses, injuries, or damages that might arise out of or relate to your services.
13.4. Compliance and Auditing
The Company reserves the right, at its sole discretion, to review and audit a Partner's activities on the Platform to ensure compliance with these Terms. We may suspend or terminate a Partner's access to the Platform at any time for violations of these Terms, non-payment of fees, or any conduct that we deem harmful to our community or brand.
14. Community Standards
14.1. Code of Conduct
Our community is a space for learning and growth, built on core principles of safety, dignity, authenticity, and respect. All Users and Partners are required to interact in a manner that is professional, respectful, and constructive. We strive to create an inclusive environment where diverse perspectives can be shared safely.
14.2. Prohibited Content and Behavior
The following content and behaviors are strictly prohibited on all parts of the Services and will lead to enforcement action:
Harassment and Bullying: Abusive, threatening, or harassing behavior directed at any individual or group.
Hate Speech: Content that attacks or demeans individuals based on their race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability, or medical condition.
Violence and Incitement: Content that threatens, encourages, or glorifies violence against individuals or groups.
Spam and Deceptive Practices: Sending unsolicited commercial messages, engaging in fraudulent schemes, or spreading misinformation.
Privacy Violations: Sharing the private or confidential information of others without their express consent.
Illegal and Regulated Content: Content that promotes illegal acts or is otherwise unlawful, obscene, or pornographic.
14.3. Non-Disparagement
You agree that you will not make, publish, or otherwise communicate any public statements that are intentionally false, misleading, defamatory, libelous, or disparaging towards the Company, its Services, its employees, its Partners, or other Users. This includes comments on social media, review websites, and any other public forum. A breach of this non-disparagement clause is considered a material breach of these Terms and will be grounds for immediate account termination without refund and potential legal action.
14.4. Enforcement
The Company reserves the right, in its sole and absolute discretion, to determine whether content or behavior violates these Community Standards. We may take any action we deem appropriate, including but not limited to issuing warnings, removing content, and suspending or permanently terminating any account that violates these standards. Such actions may be taken without prior notice and, in cases of termination for cause, without any right to a refund.
Part V: Legal Provisions and Dispute Resolution
15. Disclaimers and Limitation of Liability
15.1. "AS IS" Service

TO THE FULLEST EXTENT PERMISSIBLE BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT GUARANTEE OR MAKE ANY REPRESENTATIONS REGARDING THE USE OF THE SERVICES IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR THE RESULTS THAT MAY BE OBTAINED. YOU ASSUME ALL RISK FOR YOUR USE OF THE SERVICES.
15.2. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GURU COMPASS LLC, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE SERVICES.
UNDER NO CIRCUMSTANCES WILL THE COMPANY'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EXCEED THE GREATER OF (I) FIFTY U.S. DOLLARS ($50.00) OR (II) THE TOTAL AMOUNT OF FEES YOU HAVE PAID TO THE COMPANY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT.
16. Indemnification
You agree to defend, indemnify, and hold harmless guru compass LLC and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to reasonable attorney's fees) arising from or related to: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, trademark, property, or privacy right; or (iv) any claim that your User-Generated Content caused damage to a third party. This indemnification obligation will survive the termination of these Terms and your use of the Services.
17. Termination
The Company may, in its sole discretion, suspend or terminate your account and your access to the Services at any time, for any reason or no reason, including, without limitation, if you breach these Terms. We may take such action immediately and without prior notice or liability. Upon termination for cause (i.e., for a breach of these Terms), you will not be eligible for any refund of fees paid, and you will forfeit all payments previously made to the Company. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
18. Governing Law, Dispute Resolution, and Waiver of Legal Claims
18.1. Acknowledgment and Assumption of Risk
By accessing or using guru compass services, including free and paid sessions, users expressly acknowledge and agree that they are voluntarily participating in coaching, educational, or informational services that are not guaranteed to produce any specific outcome. Users assume full responsibility for any decisions, actions, or results that arise from their engagement with guru compass.
18.2. Limitation of Liability
To the fullest extent permitted by applicable law, guru compass LLC, its affiliates, team members, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill.
guru compass’s total liability for any claim arising out of or relating to these Terms or the use of its services is limited to the total amount paid, if any, by the user in the twelve (12) months preceding the claim.
18.3. Waiver of Legal Actions
By using the services of guru compass, the user expressly waives and releases any and all claims, demands, or causes of action, known or unknown, against guru compass LLC and its affiliates that could arise from their participation, including those based in contract, tort, statutory, or any other legal theory—except where such waiver is prohibited by law.
This waiver includes a full release of any right to seek compensation, initiate legal proceedings, or demand arbitration beyond the limitations set in this agreement.
18.4. Binding Arbitration
ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF GURU COMPASS SERVICES SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION CONDUCTED IN THE STATE OF WYOMING, UNITED STATES.
The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
18.5. Class Action Waiver
YOU AND GURU COMPASS AGREE TO RESOLVE ANY DISPUTE ON AN INDIVIDUAL BASIS. NEITHER PARTY SHALL BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.
18.6. Exception for EU Consumers
If you reside in the European Union, you may be entitled to bring legal proceedings in the courts of your home country to enforce your consumer rights under applicable EU law. This exception ensures compliance with EU regulations and shall not affect the enforceability of the rest of these Terms.

19. Miscellaneous
Entire Agreement: These Terms constitute the entire agreement between you and the Company regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
Severability: If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
No Waiver: The failure by the Company to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of the Company.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. We may freely assign or transfer our rights and obligations under these Terms without restriction.
